We are seeking an experienced and collaborative attorney to join our Corporate Legal team.

Role Summary

We are hiring a Sr. Counsel, Corporate to provide legal support for EA's corporate legal matters, including debt financing arrangements, M&A and other strategic initiatives. This position offers high visibility and the opportunity to work closely with cross functional partners, including Treasury, Accounting, Financial Planning & Analysis, Corporate Development, and Executive Leadership. You will report to the Senior Managing Counsel, Corporate. This is a hybrid role (3 days in office per week).

The ideal candidate is a corporate attorney with strong deal experience, particularly finance experience, a desire to learn and grow, excellent judgment, and the ability to manage complex legal matters in a fast-paced environment.

Key Responsibilities

  • Provide legal counsel on compliance and reporting obligations arising from EA's debt instruments.
  • Partner with finance on covenant compliance, reporting triggers, and ongoing obligations under existing and future debt facilities.
  • Draft, review, and negotiate documentation, including credit agreements, security agreements, guarantees, amendments, waivers, and consents.
  • Partner with Finance with respect to ongoing refinancing efforts, including effective management of outside counsel.
  • Lead M&A integration efforts as they relate to securitization and other debt financing matters.
  • Provide targeted legal support for strategic initiatives, including mergers, acquisitions, divestitures, strategic investments, and similar transactions.
  • Assist with governance matters.

Qualifications

  • J.D. from an accredited law school; admitted to practice in at least one U.S. jurisdiction.
  • 5+ years of corporate experience in debt financing, securities, M&A and strategic initiatives.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to work independently and collaboratively across teams.
  • Ability to effectively manage competing priorities.
  • Excellent communication and project management skills.
  • Experience managing external counsel and cross-jurisdictional legal issues.

Pay Transparency - North America

COMPENSATION AND BENEFITS 

The ranges listed below are what EA in good faith expects to pay applicants for this role in these locations at the time of this posting. If you reside in a different location, a recruiter will advise on the applicable range and benefits. Pay offered will be determined based on a number of relevant business and candidate factors (e.g. education, qualifications, certifications, experience, skills, geographic location, or business needs). 

PAY RANGES
* British Columbia (depending on location e.g. Vancouver vs. Victoria) *$157,100 - $216,800 CAD
* California (depending on location e.g. Los Angeles vs. San Francisco) *$178,200 - $269,500 USD
* Washington (depending on location e.g. Seattle vs. Spokane) *$171,200 - $228,000 USD

In the US, we offer a package of benefits including paid time off (3 weeks per year to start), 80 hours per year of sick time, 16 paid company holidays per year, 10 weeks paid time off to bond with baby, medical/dental/vision insurance, life insurance, disability insurance, and 401(k) to regular full-time employees. Certain roles may also be eligible for bonus and equity.

For British Columbia, we offer a package of benefits including vacation (3 weeks per year to start), 10 days per year of sick time, paid top-up to EI/QPIP benefits up to 100% of base salary when you welcome a new child (12 weeks for maternity, and 4 weeks for parental/adoption leave), extended health/dental/vision coverage, life insurance, disability insurance, retirement plan to regular full-time employees. Certain roles may also be eligible for bonus and equity.
